2. Scope of Services

Navionyx provides:

• GPS tracking and fleet management solutions
• EV telematics and analytics
• Mobile applications (Android and iOS)
• AI dashcam integration and alerts
• Web-based dashboards
• APIs for integration with third-party systems

Services are offered to both business (B2B) and individual (B2C) users.

3. User Accounts

• Users must register and create an account to access the Services.
• Organizations may create multiple users (e.g., owner, sub-users).
• Users are solely responsible for maintaining the confidentiality of their login credentials.
• Any activity under your account is your responsibility.

4. Eligibility

You must be at least 18 years old to use the Services.

5. Subscription & Billing

• Navionyx offers a free trial (if applicable).
• Paid subscriptions are offered on a yearly basis.
• All payments are non-refundable.
• In case of payment failure, a 7-day grace period is provided. After this, access may be suspended.
• Subscription cancellations are allowed only at the end of the billing cycle.

6. Hardware & Device Responsibility

Navionyx may provide GPS devices and dashcams.

• Devices are provided on an “as-is” basis unless stated otherwise.
• Installation, maintenance, and SIM/data connectivity are managed by Navionyx support team (info@navionyx.com).
• Navionyx is not responsible for failures caused by improper installation, misuse, or external factors.

7. Data Collection & Usage

Navionyx may collect and process the following data:

• User information (name, email)
• GPS location data
• Vehicle and device data
• Driver behavior data
• Dashcam video and related media
• Sensor and telemetry data

Video and data may be stored on secure cloud infrastructure (e.g., AWS S3). Data may be retained for up to 1 year. Users can download/export up to last 3 months of data. For more details, refer to our Privacy Policy.

8. User Responsibility for Tracking Consent

Users are solely responsible for:

• Obtaining proper consent from drivers, employees, or individuals before tracking
• Complying with applicable data protection and privacy laws

Navionyx does not permit illegal tracking or surveillance.

9. Service Availability & Accuracy

• Navionyx aims for 99.99% uptime on a best-effort basis.
• Service availability may depend on third-party providers (e.g., telecom networks, GPS satellites).
• GPS accuracy may vary due to environmental, network, or hardware limitations.
• Navionyx is not responsible for inaccurate location data or delays.

10. Prohibited Use

Users agree not to:

• Use the Services for illegal tracking or surveillance
• Misuse or exploit collected data
• Reverse engineer, modify, or copy the platform
• Interfere with system integrity or security

Violation may result in suspension or termination.

11. Third-Party Services

Navionyx integrates with third-party services, including:

• Google Maps
• Amazon Web Services (AWS)
• Telecom providers

Navionyx is not responsible for failures or limitations caused by third-party services.

12. Intellectual Property

All rights, title, and interest in Software, Platform, Dashboards, APIs, Branding and content are owned by Navionyx. Unauthorized use is strictly prohibited.

13. Limitation of Liability

To the maximum extent permitted by law:

• Navionyx’s total liability shall not exceed the subscription amount paid by the user.
• Navionyx shall not be liable for:
  • Accidents or injuries
  • Vehicle damage
  • Business losses
  • Loss of profits or data
  • Incorrect GPS or telemetry data

14. Termination

• Navionyx reserves the right to suspend or terminate access for non-payment or misuse/violation of Terms.
• Users may discontinue use, but cancellations apply only at the end of the subscription period.

15. Force Majeure

Navionyx shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, network or telecom failures, government actions, or power outages.

16. Governing Law

These Terms shall be governed by the laws of India. Jurisdiction shall lie exclusively in Aurangabad (Chhatrapati Sambhaji Nagar), Maharashtra.

17. Changes to Terms

Navionyx may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
